**Terms and Conditions for Use of Drop My Voice LLC Software Tool**
**Introduction**
Welcome to Drop My Voice LLC. This software tool (the “Tool”) is provided to facilitate the combination and processing of data from PropStream spreadsheet files and exporting that data into GoHighLevel CRM systems. By using the Tool, you agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree with these Terms, do not use the Tool.
**Use License**
Drop My Voice LLC grants you a non-exclusive, non-transferable, limited license to use the Tool strictly in accordance with these Terms.
**Proprietary Rights**
The Tool, including its interfaces, features, and functionality, are and will remain the exclusive property of Drop My Voice LLC. The Tool is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Drop My Voice LLC.
**User Responsibilities**
– You are responsible for ensuring the accuracy of the data you process using the Tool.
– You must use the Tool in compliance with all applicable laws, regulations, and third-party rights, including without limitation data protection and privacy laws.
– You agree not to use the Tool to transmit any data that you do not have the right to process or transfer.
**Disclaimer of Warranties**
The Tool is provided on an “AS IS” and “AS AVAILABLE” basis. Drop My Voice LLC makes no representations or warranties of any kind, express or implied, as to the operation of the Tool or the information, content, materials, or products included on or through the Tool. You expressly agree that your use of the Tool is at your sole risk.
**Limitation of Liability**
Drop My Voice LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, shall be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Tool; (ii) any conduct or content of any third party on the Tool; (iii) any content obtained from the Tool; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
**Indemnification**
You agree to defend, indemnify and hold harmless Drop My Voice LLC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Tool, by you or any person using your account and password; b) a breach of these Terms.
**Modification of Terms**
Drop My Voice LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. It is your responsibility to check these Terms periodically for changes.
**Governing Law**
These Terms shall be governed and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
